Terms

Last updated November 2, 2026

These terms are the agreement between Vayner Systems LLC and the organization that uses Clock Clerk. Please read them: they limit what we owe you, say there is no warranty, and say where disputes are heard.

1. About these terms

Clock Clerk (the "service") is provided by Vayner Systems LLC, an Ohio limited liability company, of 35585 Curtis Blvd, Unit B, Eastlake, OH 44094, United States ("Vayner Systems", "we", "us"). "You" is the organization that uses the service, and "your people" are everyone it lets in: its users, administrators, contractors and client guests.

Whoever starts an organization accepts these terms for it by ticking the box at sign-up, and confirms that they may bind it. Everyone else who uses the service agrees to use it as these terms allow. The privacy notice explains how we handle personal information, and a data processing agreement is available on request through the contact form.

If your organization has signed a separate written agreement with us for the service, that agreement prevails wherever the two conflict.

2. Your license

While your organization is in good standing, we grant it a limited, non-exclusive, non-transferable license to use the service for its own business, through the plan it has chosen, and to let its people do so.

We own the service: its software, design, documentation and name, and everything we build into it. These terms give you no other right to them. If you send us suggestions or feedback, we may use them freely, without owing you anything.

3. Who you let in

Your organization is responsible for everyone it lets in and for everything they do in the service, whatever sign-in method or system it uses: passwords, Microsoft Entra ID, Okta, Google or another identity provider, people provisioned automatically from its directory, and client guests it invites. It decides who has which role, and we act on what its administrators and its directory tell us.

Keep sign-ins to the person they belong to. Tell your administrator, and us through the contact form, as soon as you think someone has used one who should not have.

4. Your data

What you and your people put into Clock Clerk belongs to your organization. You give us permission to host, copy, process and display it only as needed to provide, secure and support the service, as the privacy notice describes. We do not sell it.

Your organization is responsible for the data it records, for having the right to record it, and for telling its people what it records about them. Do not enter sensitive information the service does not need, such as health data, government identification numbers or payment card numbers.

An administrator can download all of your organization's data at any time from the Organization tab, including while it is read-only.

5. Third-party services

By accepting these terms, your organization permits us to use Stripe and other payment processors, and the hosting, email and other providers named in the privacy notice, to provide and support its account. Card and bank details are given to Stripe, under Stripe's terms, and never reach us.

Your organization may connect services of its own, such as its identity provider, its Microsoft directory, an accounting system such as QuickBooks or task sources such as Jira or Azure DevOps. It does so at its own risk and under its own agreements with those providers. We are not responsible for them, for what they do with what is sent to them, or for their being available, and a change on their side may stop a connection working.

6. Acceptable use

Use the service to record and manage work. Do not, and do not let anyone else:

7. Free trials

A new organization may start with a free trial for the period shown when it starts, which an administrator can extend once from the app. No card is needed. When a trial ends without a plan being chosen, the organization becomes read-only: everyone can still sign in and look, and an administrator can download its data, but nothing new can be added. If no plan is chosen, the organization is removed 90 days after the trial ended, after emails to every administrator 30 days and 7 days before.

A free trial is provided entirely as it is, with no warranty of any kind, and Vayner Systems has no liability of any kind to you or anyone else arising from it.

8. Plans, prices and payment

Plans and prices are as posted on our pricing page when the charge is made. The Starter and Team plans are billed monthly, in arrears, in US dollars, through Stripe, for the people who entered time during each monthly billing period. The Enterprise plan is billed as agreed in its separate written agreement. A subscription renews from period to period until it is canceled.

We may change our prices and plans at any time. A change applies from your next billing period after it is posted, never to a period already under way.

Changing plan: a move to a larger plan applies at once, and a move to a smaller one at the end of the current billing period.

Canceling: an administrator can cancel at any time from the Organization tab. The subscription then ends at the close of the billing period under way, which is still charged, and after that the organization becomes read-only.

Refunds are not given automatically. To ask for one, use the contact form. Whether to give one is our decision, unless the law says otherwise.

Taxes: prices do not include taxes. You pay any sales, use, value-added or similar taxes on the service, and we add them to your invoice where the law requires us to collect them. We do not give tax advice, and Clock Clerk is not a tax or payroll service.

Failed payments: if a payment fails, Stripe tries again. If it still goes unpaid, the organization becomes read-only until it is paid. An organization left unpaid is removed 90 days after its subscription went unpaid, after emails to every administrator 30 days and 7 days before.

9. Suspension and termination

We may suspend or terminate any organization, or anyone's access, at any time and for any reason, without prior notice, for example where we believe these terms have been broken, a payment is owed, or the service, our customers or the law require it.

Your organization may stop using the service at any time. To delete it, an administrator first cancels any subscription, which ends at the close of the billing period under way; once the subscription has ended, they can delete the organization from the Organization tab. It becomes read-only at once, and any administrator can undo the deletion for 30 days, after which it is removed.

10. Your data after you leave

Until an organization is removed, an administrator can download its data, during a pending deletion and while it is read-only too. After removal there is nothing left to download, and we cannot restore it.

We keep only limited records we must keep for legal, tax, accounting, security and fraud-prevention purposes, and records that belong to someone other than the removed organization, as the privacy notice describes.

11. The service

We work to keep Clock Clerk available and your data safe. We may change the service as it develops: add, change or remove features, and change what each plan includes. We do not promise any particular availability or response time. For help, use the contact form or the Help menu in the app.

12. No warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS. TO THE FULLEST EXTENT PERMITTED BY LAW, VAYNER SYSTEMS DISCLAIMS ALL WARRANTIES AND CONDITIONS, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY, AND ANY ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR FREE OF ERRORS, THAT ANY DATA WILL BE KEPT WITHOUT LOSS, OR THAT ANY TOTAL, INVOICE, REPORT OR EXPORT IT PRODUCES IS CORRECT. YOU ARE RESPONSIBLE FOR CHECKING WHAT YOU RELY ON.

13. Limits of liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

These limits apply whatever the legal theory, whether contract, tort (including negligence) or otherwise, and even if a remedy fails of its essential purpose.

14. Indemnity

Your organization will defend Vayner Systems against any claim by a third party arising from its data, from the conduct of the people it lets in, or from its breaking these terms or the law, and will pay any damages, costs and reasonable legal fees that result.

15. Changes to these terms

When these terms change, we post the new version here with a new date, email every administrator, and show a notice in the app. A change applies to organizations already using Clock Clerk 30 days after it is posted, and at once to an organization started on or after the day it is posted. Continuing to use the service after a change applies means accepting it. If your organization does not accept a change, it may leave before then, as section 9 describes.

16. General

17. Governing law and disputes

These terms are governed by the laws of the State of Ohio, United States, without regard to its rules on conflicts of law. Any dispute arising from or relating to the service or these terms will be heard only in the courts of Lake County, Ohio, and you and we each consent to their jurisdiction. This does not affect anyone's right to complain to a data protection authority, as the privacy notice describes.
